1. General Terms

By submitting your contact details on the Kuberhunt platform, you authorize/give express consent to Kuberhunt, owned and operated by Kuberhunt Treasure Private Limited (hereinafter referred to as 'Company' or 'we' or 'us'), to allow you access to the Kuberhunt platform and its services.

You authorize the Company's approved representatives to contact you via call, SMS, Email, WhatsApp, and other communication channels for service-related purposes, updates, promotional offers, and customer support.

You agree to receive transaction confirmations, service notifications, invoices, and account statements in electronic mode to your registered email address and/or mobile number.

These Terms and Conditions (hereinafter 'Terms') shall govern the relationship between the Company and its users/clients (hereinafter 'Client', 'User', 'you', or 'your'). Access to and usage of your account and the Kuberhunt Platform is subject to your compliance with the Terms set forth herein, read with our Privacy Policy, Refund Policy, and any other applicable policies and guidelines.

2. Acceptance of Terms

By accessing, browsing, or using the Kuberhunt platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately cease using the Platform and services.

Your use of the Platform constitutes your acceptance of these Terms as they may be amended from time to time. We reserve the right to modify, add, or remove portions of these Terms at our sole discretion. It is your responsibility to review these Terms periodically for updates.

3. Account Registration and Opening

3.1 Registration Process

Before availing of any services on the Kuberhunt Platform, you are required to complete our registration process. To register, you must:

Provide accurate, current, and complete information as prompted by the registration form, including your full name, email address, mobile number, date of birth, and any other requested details.
Submit requisite documentation for verification if required, which may include Government-issued ID such as PAN Card, Aadhaar Card, or Driver's License.
Verify your email address and/or mobile number through the verification process.

Your account shall be activated only after the Company has verified your documentation, and such activation is entirely at the Company's sole discretion. The Company reserves the right to reject any registration application without providing reasons.

3.2 Eligibility Criteria

You represent and warrant that:

You are at least 18 years of age or have attained the age of majority in your jurisdiction.
You have the legal capacity to enter into binding contracts.
You are not prohibited by any applicable law from using the Platform.
All information provided during registration is true, accurate, current, and complete.
You will promptly update your account information to maintain its accuracy.

4. Account Security and Credentials

4.1 Account Access Security

Access to your account is secured through one-time passwords (OTPs) sent to your registered email address and/or mobile number. You are solely responsible for maintaining the security of your account. You agree to:

Keep your registered email address and mobile number secure and under your sole control.
Not share any OTP or account access with any third party.
Immediately notify the Company of any unauthorized use of your account or security breach.
Log out from your account at the end of each session, especially on shared or public devices.

4.2 Account Activity

You acknowledge and agree that you are fully responsible for all activities that occur under your account, including actions taken by third parties who gain access to your account, whether authorized or not. The Company shall not be liable for any loss or damage arising from your failure to maintain account security.

4.3 Security Notice

IMPORTANT: The Company will NEVER request you to share your OTP, transfer funds to personal bank accounts, or provide sensitive information via unsolicited calls or emails. Report any such requests immediately to support@kuberhunt.com.

5. Services Provided

5.1 Platform Services

Kuberhunt is an online marketplace platform that connects retail investors in India with SEBI-registered Research Analysts (RAs) and Registered Investment Advisors (RIAs), and facilitates the discovery, subscription, and management of investment research and advisory services. The Platform enables users to:

Browse and discover verified SEBI-registered Experts whose registration credentials have been cross-checked against the official SEBI registry.
Compare Reco Plans (recommendation plans), Modelfolios (curated multi-stock model portfolios), and algo strategies across asset classes including equity, F&O (futures and options), and indices.
Filter advisory products by asset class, time horizon (intraday, swing, BTST, positional, long-term), risk level, and Expert.
Subscribe to Expert services with digital, SEBI-compliant consent forms and KYC verification (PAN + Aadhaar).
Receive timestamped, signed buy/sell/hold Recos with entry price, stop-loss, and target levels.
Replicate Modelfolios in their own demat accounts using published holdings and weights, and receive rebalance recommendations.
Manage multiple Expert subscriptions through a single dashboard with automatic enforcement of the SEBI ₹1,51,000 per-family annual fee cap.
Cancel subscriptions at any time with automatic refunds for unused periods (no annual lock-ins, in line with SEBI's quarterly advance-fee rule).
Raise grievances through integrated SCORES (SEBI Complaints Redress System) escalation.
For Experts: list profiles, publish Reco Plans and Modelfolios, collect fees through compliant infrastructure, and access subscriber/revenue/churn analytics.

Kuberhunt operates strictly as a marketplace/intermediary. It does not itself provide investment advice, hold customer demat accounts, or execute trades — advisory is delivered by independent SEBI-registered Experts, and execution is done by the user through their own broker. The operating entity is Kuberhunt Treasure Private Limited, and the platform serves Indian retail investors only.

5.2 Service Availability

While we strive to ensure continuous availability, the Company does not guarantee uninterrupted or error-free access. Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

5.3 Service Modifications

The Company reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. This includes features, functionality, pricing, and availability. The Company shall not be liable for any such modifications, suspensions, or discontinuations.

5A. Kuberhunt Edge — Bundled Subscriptions

5A.1 What Kuberhunt Edge Is

Kuberhunt Edge ('Edge') is a single, bundled subscription that gives you access to research calls and recommendations ('Recos' or 'Calls') sourced from one or more SEBI-registered Research Analyst partners (each an 'Edge Partner'). As of the date of these Terms, the Edge Partner is Investology (SEBI Research Analyst Registration No. INH000015297, BASL Membership No. 6072). The Company may add, change, or remove Edge Partners from time to time; the then-current Edge Partner details will be disclosed within the Edge subscription flow and on the Platform.

5A.2 Kuberhunt's Role — Distributor, Not Advisor

For Edge, Kuberhunt acts solely as a technology platform and distributor that publishes and delivers Calls authored by the Edge Partner. Kuberhunt is not a SEBI-registered Research Analyst or Investment Adviser, does not author the Calls, does not provide investment advice, and does not exercise any discretion over the content, timing, or merits of any Call. Every Call available through Edge is the research output and opinion of the Edge Partner alone.

5A.3 Edge Partner Responsibility

Each Call is authored, owned by, and the sole regulatory responsibility of the Edge Partner under the SEBI (Research Analysts) Regulations, 2014 and all applicable SEBI circulars. The Edge Partner is responsible for the accuracy, suitability, conflict-of-interest disclosures, and regulatory compliance of its Calls. Any advisory relationship arising from the Calls is between you and the Edge Partner; Kuberhunt is not a party to that advisory relationship.

5A.4 No Guarantee — Market Risk

SEBI registration, BASL membership, and NISM certification of the Edge Partner in no way guarantee the performance of the Edge Partner or provide any assurance of returns. Investments in securities are subject to market risk; the value of investments can rise or fall, and in leveraged products such as F&O you may lose more than your initial outlay. Calls are provided for information only, are not personalised investment advice unless expressly stated by a Registered Investment Adviser, and do not constitute a solicitation to buy or sell any security. Read the Risk Disclosure in full before subscribing to or acting on Edge.

5A.5 Fees, Billing, Auto-Renewal, Cancellation, and Refunds

Edge is offered as a ₹499 recurring (auto-renewing) subscription, billed to your registered payment method each cycle until you cancel. You may cancel auto-renewal at any time; cancellation takes effect at the end of the then-current billing cycle, and you retain access to Edge until that date. Refunds for unused periods, where applicable, follow the same basis as Clause 6.5 and our Refund Policy.

NOTE: Edge fees, when combined with any other fees you pay to SEBI-registered advisors, remain subject to the SEBI ₹1,51,000 per-family annual fee cap described in Clause 6.

5A.6 Intellectual Property in Calls

All Calls, research, and related materials delivered through Edge are the intellectual property of the Edge Partner. Your subscription grants you a limited, personal, non-transferable right to view and act on the Calls for your own investment decisions only. You shall not copy, redistribute, resell, republish, forward, or otherwise share any Call with any third party.

5A.7 You Execute Your Own Trades

Neither Kuberhunt nor the Edge Partner executes trades on your behalf. Acting on any Call is your decision, performed through your own broker. You are solely responsible for assessing suitability, sizing positions, setting and honouring stop-losses, and managing your own risk.

5A.8 Liability for Edge

To the maximum extent permitted by law, Kuberhunt shall not be liable for any loss or damage arising from any Call, including its accuracy, timeliness, or outcome, all of which are the responsibility of the Edge Partner. Kuberhunt's liability in relation to Edge is limited as set out in Clause 12 (Limitation of Liability).

6. Fees, Charges, and Payment Terms

6.1 Fee Structure

For investors (subscribers)

Browsing the platform is free. You only pay when you subscribe to a specific Expert's plan, and that fee goes to the Expert — Kuberhunt itself is positioned as a marketplace, not the advisor.

Individual plan prices are set by each SEBI-registered Expert and vary widely. Featured pricing on the site ranges roughly from ₹1,000/month at the entry level up to ₹9,999/month for higher-tier plans. Mid-range plans cluster around ₹2,000–₹4,999/month, with some Modelfolios at ₹7,999/month. Each Expert profile lists the count of plans and the "from" price.

SEBI-mandated rules that Kuberhunt enforces on top of those prices

₹1,51,000 family fee cap per year — this is the total you (and your family unit) can pay across all SEBI-registered advisors in a year, per SEBI's 2024 Research Analyst guidelines. Kuberhunt aggregates your active subscriptions and shows remaining headroom against this cap.
One-quarter advance fee limit — Experts cannot collect more than one quarter of fees upfront. No annual lock-ins.
Automatic refunds — cancel any time; unused subscription periods are refunded without paperwork.
Digital consent + KYC — every subscription requires a SEBI-compliant consent form and PAN + Aadhaar verification before activation.

6.2 Payment Obligations

By subscribing to or purchasing any paid service, you agree to:

Pay all applicable fees as per your selected pricing plan.
Provide valid and current payment information.
Authorize the Company to charge your designated payment method for all fees incurred.
Bear all taxes, duties, levies, and government charges including GST, as applicable.

6.3 Billing and Invoicing

All fees are stated exclusive of applicable taxes unless expressly stated otherwise. You will receive invoices electronically to your registered email address.

6.4 Automatic Renewal

Subscription services may automatically renew unless you cancel prior to the renewal date. Cancel auto-renewal through the available options.

6.5 Refunds

Fees are generally non-refundable except as expressly provided in our Refund Policy. Please review the Refund Policy carefully before making any payment.

6.6 Non-Payment and Suspension

Failure to pay applicable fees may result in suspension or termination of your account. The Company reserves the right to charge late fees and collection costs for overdue payments, to the extent permitted by law.

7. User Obligations and Conduct

7.1 Compliance with Laws

You agree to use the Platform in compliance with all applicable laws, including laws relating to employment, data protection, intellectual property, and consumer protection.

7.2 Accurate Information

All information you provide must be truthful, accurate, current, and complete. You agree to promptly update information to maintain accuracy. Providing false or fraudulent information may result in immediate account termination and legal action.

7.3 Prohibited Activities

You agree NOT to:

Post false, misleading, defamatory, or fraudulent information.
Harass, threaten, or discriminate against other users based on race, religion, gender, nationality, disability, sexual orientation, age, or any protected characteristic.
Upload, transmit, or distribute viruses, malware, or malicious code.
Attempt to gain unauthorized access to the Platform or other user accounts.
Scrape, data mine, or use automated tools to extract data without permission.
Impersonate any person or entity, or falsely represent your affiliation.
Spam, send unsolicited communications, or engage in unauthorized commercial solicitation.
Violate intellectual property rights of the Company or any third party.
Use the Platform for any illegal purpose.

7.4 Content Standards

Content you post must:

Be relevant and appropriate to the Platform's purpose.
Not contain offensive, obscene, or inappropriate language or imagery.
Not infringe third-party rights including copyrights, trademarks, or privacy rights.
Not contain confidential information belonging to others without authorization.
Comply with all applicable laws and these Terms.

8. Intellectual Property Rights

8.1 Company Ownership

All intellectual property rights in the Kuberhunt Platform, including software, source code, algorithms, databases, graphics, user interface, logos, trademarks, service marks, design elements, content, and documentation, are and shall remain the exclusive property of the Company or its licensors.

8.2 License Grant

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not grant you any ownership rights or intellectual property rights in the Platform.

8.3 Restrictions

You shall not:

Copy, modify, adapt, translate, or create derivative works based on the Platform.
Reverse engineer, decompile, disassemble, or attempt to discover the source code.
Rent, lease, sell, sublicense, distribute, or otherwise transfer the Platform.
Remove, alter, or obscure any proprietary notices or marks.
Use the Platform to develop a competing product or service.

8.4 User Content

You retain ownership of content you create and post on the Platform. However, by posting content, you grant the Company a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for operating and improving the Platform and providing services.

8.5 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you acknowledge that the Company may use such feedback without any obligation to compensate you.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in the Privacy Policy.

9.1 Consent to Communications

By providing your contact details and consenting to be contacted as described in these Terms, you authorize the Company and its approved representatives to contact you notwithstanding any registration you may have on the National Do Not Call (NDNC) Registry or Do Not Disturb (DND) list, and you agree that such registration shall not apply to communications made under these Terms. You may withdraw this consent at any time by contacting support@kuberhunt.com.

You acknowledge and agree that:

The Company may collect, process, and store your personal data in accordance with the Privacy Policy.
Your data may be transferred to and processed in countries other than your country of residence.
You are responsible for ensuring appropriate consent when providing personal data about third parties.

10. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources not owned or controlled by the Company. The Company does not endorse or assume responsibility for third-party content, privacy policies, or practices.

You acknowledge and agree that:

The Company shall not be liable for any damage or loss caused by third-party content, goods, or services.
You access third-party sites at your own risk and subject to their terms and conditions.
You should review the terms and privacy policies of any third-party websites you visit.

11. Disclaimers and Warranties

11.1 'As Is' Basis

THE PLATFORM AND SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantees

The Company does not warrant or guarantee profits, protection against loss, or any particular investment outcomes. All outcomes depend on various factors beyond the Company's control.

11.3 Accuracy of Information

The Company does not warrant the accuracy, completeness, or reliability of any information on the Platform. Users are responsible for verifying all information independently.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE COMPANY AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, directors, officers, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:

Your use or misuse of the Platform.
Your violation of these Terms.
Your violation of any rights of another party.
Your violation of any applicable laws or regulations.
Any content you post or transmit through the Platform.

14. Termination

14.1 Termination by Company

The Company reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice, for any reason including:

Violation of these Terms or any applicable policies.
Suspicious, fraudulent, or illegal activity.
Extended period of inactivity.
Request by law enforcement or government agency.
Discontinuation or material modification of the Platform.

14.2 Termination by User

You may terminate your account at any time by reaching the support team at support@kuberhunt.com. Termination does not relieve you of any obligations incurred prior to termination.

14.3 Effect of Termination

Upon termination:

Your right to access and use the Platform immediately ceases.
The Company may delete your account and all associated data.
You remain liable for all fees and charges incurred prior to termination.
Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitation of liability.

15. Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

16.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Platform:

Informal Resolution: The parties shall first attempt to resolve the dispute informally by contacting support@kuberhunt.com.
Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Mumbai, Maharashtra. The language of arbitration shall be English. The arbitrator's decision shall be final and binding.
Jurisdiction: Subject to arbitration, the courts of Mumbai shall have exclusive jurisdiction over any disputes.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by the Company on the Platform, constitute the entire agreement between you and the Company concerning the Platform and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the Company.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the Company's prior written consent. The Company may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

17.5 No Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and the Company. You have no authority to bind the Company in any manner whatsoever.

17.6 Notices

All notices to the Company shall be sent to support@kuberhunt.com; notices to you shall be sent to your registered email address. Notices shall be deemed given upon email transmission or three (3) days after mailing.

User Acknowledgment

BY USING THE KUBERHUNT PLATFORM, YOU ACKNOWLEDGE THAT:

You have read and understood these Terms and Conditions in their entirety.
You agree to be bound by these Terms and all policies referenced herein.
You have the legal capacity to enter into this agreement.
You will comply with all applicable laws and regulations.
You understand that the Company may modify these Terms at any time.
