GMP Isn't Analysis: How to Actually Read an IPO Before You Apply

Two IPOs opened this week, and one number is getting all the attention: GMP. Here's why that's the wrong number to trust, and the six checks that actually matter before you apply — walked through live using Molbio Diagnostics and Milky Mist.

Two mainboard IPOs opened this week — Molbio Diagnostics on 10 August, Milky Mist Dairy Food on 11 August. And somewhere in a WhatsApp group, someone is typing "apply karo, listing gain pakka."

That's not analysis. It's a rumour with a rupee sign attached. Most retail investors decide on an IPO using exactly one input — the grey market premium — and spend the next six months wondering what went wrong. Here's a repeatable framework for the other inputs, using both live issues as examples.

GMP isn't a signal

GMP is the unofficial, unregulated price at which IPO shares trade before listing. No exchange publishes it, nobody audits it — it moves on sentiment alone.

Molbio's GMP has swung between roughly ₹50 and ₹180, sitting near ₹120 on 9 August, about 15% over the ₹807 upper band. Milky Mist has been quoted anywhere from ₹0 to ₹26 depending on the day and the site. If the same "signal" swings that wide inside a week, it isn't a signal — it's crowd mood. Useful as a thermometer, useless as a reason.

The 6 checks that actually matter

1. Fresh issue or OFS?

A fresh issue puts money into the company; an offer for sale (OFS) pays existing shareholders, and the company gets nothing. Molbio's ₹939.7 crore issue is mostly OFS — only ₹200 crore is fresh, the remaining ~₹740 crore goes to promoters and existing investors. Milky Mist's ₹1,553 crore issue is the opposite: ₹1,428 crore fresh, only ₹125 crore OFS. Same word, two different transactions — check this split first.

2. Where does the fresh money go?

Molbio's net proceeds (~₹205.93 crore) go almost entirely to expansion: ₹125.12 crore for an R&D facility and Centre of Excellence, ₹80.81 crore for plant and machinery at its Goa and Visakhapatnam units. Milky Mist's ~₹1,121.41 crore splits three ways: ₹496.86 crore to repay debt, ₹469.24 crore to expand its Perundurai facility, and ₹155.31 crore for coolers and freezers. Less than half goes to debt — read the "Objects of the Offer" table yourself before trusting a headline summary.

3. Balance sheet, not brand recall:

Milky Mist's debt-to-equity was 3.61 as of 31 March 2026 (improved from 4.20), against total borrowings of ~₹1,671.85 crore. The ₹496.86 crore repayment clears roughly 30% of that — not all of it. Its RoNW (33.6%) and ROE (32.1%) look strong, but ROCE is a thinner 11.7%. A high ROE on a leveraged balance sheet is partly a function of the leverage.

4. Valuation against listed peers:

At ₹140, Milky Mist's implied market cap (~₹10,778 crore) works out to about 74x FY26 earnings on a pre-issue EPS of ₹1.90. At ₹807, Molbio's post-issue market cap (~₹9,300 crore) is closer to 57x. Neither number says apply or avoid — both tell you how much future growth you're paying for today. Twenty minutes against listed peers gives you the real answer.

5. Concentration risk:

Ask three questions: geographic (Milky Mist leans heavily on South India), product (how much revenue rides on one line), and customer (do a few buyers dominate sales). The RHP's Risk Factors section — written by lawyers to protect the company — is the most honest page in the document.

6. Know which game you're playing:

A listing-gain trade depends on sentiment and allotment luck, not the business — fine, if you size it that way. A long-term hold makes listing day irrelevant; only checks 1–5 matter. The failure mode is applying for a quick gain, missing it, then rebranding yourself a "long-term investor" to avoid booking the loss.
